1. Who we are and scope
These Terms and Conditions (“Terms”) are between K LIFE LIMITED, trading as KLAP.life, company number 14434391, registered office at 71–75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ (“KLAP”, “we”, “us”, “our”), and the person or organisation using KLAP.life, its white-label services, widgets, applications, APIs, messaging tools or related services (“you”, “User”, “Business Customer”, “Organiser” or “Customer”, as applicable).
These Terms apply to consumer accounts, business accounts, event and venue services, bookings, ticketing, subscriptions, CRM, PMS, payments, analytics, marketing, email and WhatsApp tools, AEO/GEO and AI-assisted functionality, APIs, embedded widgets and all related services (collectively, the “Services”). Additional terms displayed in an order, subscription, event page, checkout, payment mandate or service-specific interface form part of these Terms. In the event of conflict, mandatory law prevails, followed by the relevant order or service-specific terms, then these Terms.
2. KLAP’s role
KLAP provides software, marketplace, access-control, booking, ticketing, subscription, marketing and related technology. Unless expressly stated at checkout, KLAP is not the organiser, venue operator, performer, accommodation provider, restaurant, tour operator, promoter, merchant, seller or payment institution responsible for the underlying event, booking, product or service. The relevant Business Customer or Organiser is responsible for its offering, descriptions, availability, licences, safety, accessibility, age restrictions, taxes, refunds and compliance with local law.
Where a Business Customer uses its own Stripe, PayPal, SumUp, GoCardless, Meta or other third-party account, it contracts directly with that provider and remains responsible for that account, its charges, disputes, reserves, refunds, regulatory obligations and configuration. Meta/WhatsApp messaging charges are normally billed to the Business Customer’s own Meta account when it is connected through Embedded Signup, unless a written order states otherwise.
3. Eligibility and accounts
You must have legal capacity to enter into these Terms. Business accounts and contracts may be created only by persons aged 18 or over, or the age of majority in their jurisdiction, who are authorised to bind the relevant organisation. Consumer users under 18 may use the Services only with the involvement and permission of a parent or legal guardian and subject to the age rules of the relevant event or service. We do not knowingly permit children below the minimum lawful digital-consent age to create independent accounts.
You must provide accurate, current information, protect your credentials and promptly notify us of unauthorised access. You are responsible for activity performed through your account, including activity by employees, agents, contractors and authorised users. You must not share credentials outside your organisation or bypass security controls.
4. Business Customer and Organiser responsibilities
Business Customers and Organisers must: (a) have all rights, licences, permits, insurance and authority required for their activities; (b) provide complete and accurate consumer information, prices, taxes, cancellation and refund terms; (c) honour statutory and contractual consumer rights; (d) use personal data only on a valid legal basis; (e) provide required privacy notices; (f) obtain and retain valid, channel-specific marketing consent where required; (g) maintain suppression lists and promptly honour objections, withdrawals and opt-outs; (h) comply with applicable advertising, consumer, accessibility, intellectual-property, employment, tax, anti-spam and electronic-communications laws; and (i) comply with Meta, WhatsApp and other third-party policies.
Business Customers act as independent controllers for personal data they determine to collect and use through their events, campaigns, customer lists and business operations. KLAP generally acts as processor/service provider for that data, except where KLAP independently determines purposes and means, such as account security, billing, fraud prevention, legal compliance, product analytics and operation of the KLAP marketplace.
5. WhatsApp, email and electronic marketing
You may send marketing or promotional messages only to people who have provided valid consent or where another lawful exception clearly applies. Consent must be freely given, informed, specific to the relevant business, purpose and channel, recorded, and not obtained through pre-ticked boxes or as an unnecessary condition of purchase. A telephone number, booking, enquiry, account creation or prior contact does not by itself authorise WhatsApp marketing.
Service messages may be used to deliver purchased tickets, QR or access credentials, booking and reservation confirmations, event or venue updates, payment information, security notices and support requested by the customer. They must remain factual and related to the transaction or requested service; promotional content must use the separate marketing permission.
For WhatsApp Business Platform use, you must comply with the WhatsApp Business Messaging Policy, Commerce Policy, template rules, quality requirements and all Meta terms. You must use approved templates where required, respect messaging windows, clearly identify the sending business, avoid misleading or prohibited content, and provide an easy opt-out. You must promptly honour STOP, UNSUBSCRIBE, CANCEL, END, QUIT, BAJA, SALIR, ANNULLA, DISISCRIVI and any other clear withdrawal request. You must not message purchased, scraped or unlawfully shared lists.
KLAP may block campaigns, suspend messaging, preserve evidence, restrict templates or terminate access where consent evidence is missing, complaint rates are excessive, policies are breached or platform integrity is at risk. Business Customers remain responsible for message content, recipients, lawful basis and consequences of their campaigns.
6. Events, tickets, bookings and subscriptions
A ticket, booking confirmation, membership or entry credential is a limited, revocable right to receive the underlying service subject to the Organiser’s rules and applicable law. It is not ownership of an event or venue. Event dates, line-ups, opening times, seating, venue, availability and conditions may change. Personalised or security-controlled credentials may be non-transferable and identification may be required.
Users must follow lawful venue, security, health, age and conduct rules. Admission may be refused or a person removed for lawful safety, fraud, capacity, intoxication, harassment, prohibited items or rule violations. Counterfeit, duplicated, altered or unlawfully resold credentials are invalid. Scanned or redeemed credentials cannot normally be reused.
Recordings or photography may occur at events. The Organiser is responsible for providing legally required notices and obtaining permissions. Nothing in these Terms transfers performers’ or attendees’ rights beyond what applicable law and the Organiser’s valid notices allow.
7. Prices, payments, fees and direct debits
Prices, taxes, service charges, presale fees, payment fees, subscription terms and renewal conditions are displayed before purchase or in the applicable order. You authorise the relevant payment provider to process the chosen payment method. Card and bank details are handled by the payment provider unless expressly stated otherwise; KLAP normally receives transaction identifiers and payment status rather than complete card data.
Subscriptions may renew automatically where this is clearly disclosed and legally permitted. You must cancel through the available account or billing process before the next renewal deadline. Direct-debit mandates are subject to the provider’s scheme rules and any applicable guarantee. Failed, reversed or disputed payments may result in restricted access and recovery of properly due amounts.
8. Cancellations, refunds and chargebacks
The Organiser’s disclosed cancellation and refund policy applies, subject always to mandatory consumer law. Where KLAP is acting only as technology provider or disclosed agent, the Organiser is responsible for deciding and funding refunds. Payment-processing and service fees are refundable only where required by law or expressly stated before purchase. No clause excludes statutory rights.
You should first use the support and refund process shown in the booking or event information. Improper chargebacks, duplicate refund requests or false claims may lead to suspension and recovery of costs, without limiting genuine rights to dispute unauthorised or incorrect charges.
9. User content, customer data and intellectual property
You retain ownership of content and data you lawfully upload. You grant KLAP a worldwide, non-exclusive, limited licence to host, copy, process, adapt for technical formatting, display, transmit and back up that content only as necessary to provide, secure, support and improve the Services and comply with law. You warrant that you have the rights and lawful basis needed for all uploaded content, contact lists, images, music, trademarks and personal data.
KLAP and its licensors retain all rights in the platform, software, interfaces, designs, databases, documentation, trademarks and improvements. You may not copy, reverse engineer, resell, scrape, circumvent, interfere with or create derivative works from the Services except where mandatory law permits.
10. Acceptable use and prohibited activity
You must not use the Services for unlawful, fraudulent, deceptive, discriminatory, abusive, defamatory, infringing, exploitative or unsafe activity; malware, phishing, spam or credential theft; unlawful surveillance or scraping; evasion of sanctions or payment rules; prohibited goods or services; trafficking, exploitation or sexual content involving minors; incitement to violence; or any content prohibited by Meta/WhatsApp or the relevant payment provider. You must not overload the platform, probe vulnerabilities without written authorisation, manipulate analytics or impersonate another person or organisation.
11. Third-party services
The Services may interoperate with Meta/WhatsApp, Stripe, PayPal, SumUp, GoCardless, Google, LinkedIn, hosting, analytics, mapping, email, identity and other providers. Their services are governed by their own terms and privacy notices. KLAP is not responsible for an outage, policy decision, suspension, price change or data practice controlled by a third party, although we will use reasonable care in selecting and integrating providers.
“WhatsApp” and “Meta” are trademarks of their respective owners. KLAP is not sponsored or endorsed by Meta unless expressly stated in an official agreement.
12. Availability, changes and security
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Maintenance, security incidents, internet failures, force majeure, third-party outages or legal requirements may affect availability. We may change, replace or discontinue features where reasonably necessary, while respecting paid contractual commitments and mandatory law.
13. Suspension and termination
We may restrict or suspend access where reasonably necessary to protect users, comply with law, prevent fraud or security harm, address non-payment, enforce third-party policies or investigate a material breach. We may terminate for serious or repeated breach. Where appropriate, we will provide notice and an opportunity to remedy. You may stop using the Services and close your account, subject to outstanding obligations and lawful retention.
14. Warranties and liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or mandatory consumer rights. Subject to that, KLAP is not liable for the quality, safety, cancellation or performance of an underlying event or third-party service that it does not organise or control.
For business users, and to the maximum extent permitted by law, KLAP is not liable for indirect or consequential loss, loss of profit, revenue, goodwill, anticipated savings or data arising from use of the Services. KLAP’s aggregate liability for a claim is limited to the fees paid to KLAP for the affected Service during the 12 months before the event giving rise to the claim, unless a written order states a different cap. These business limitations do not apply to consumers where prohibited.
15. Indemnity by business users
A Business Customer will indemnify KLAP against third-party claims, regulatory penalties, costs and losses arising from the Business Customer’s unlawful content, campaigns, contact lists, events, products, instructions, failure to obtain consent, breach of data-protection duties or infringement of third-party rights, except to the extent caused by KLAP’s own breach or negligence.
16. Consumer rights
If you are a consumer, you retain all rights that cannot be waived under the law of your habitual residence. Nothing in these Terms limits rights concerning unfair terms, digital content, cancellation, refunds, defective services, privacy or payment disputes. Country-specific rights prevail over inconsistent wording.
17. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, but a consumer may also rely on mandatory rights and bring proceedings in the courts available under the law of their habitual residence. Before litigation, the parties should attempt in good faith to resolve the issue through the support or complaint process.
18. Changes to these Terms
We may update these Terms to reflect legal, regulatory, security, technical or service changes. The current version and effective date will be published here. Material changes will be notified where required. Continued use after the effective date constitutes acceptance only to the extent permitted by law; where fresh consent is legally required, we will request it.
